Latham & Watkins Advises Digital Realty on Joint Venture in Brazil

The joint venture owns and operates Ascenty, the leading data center provider in Brazil.

Digital Realty (NYSE: DLR), a leading global provider of data center, colocation and interconnection solutions, announced the closing of its joint venture with Brookfield Infrastructure, an affiliate of Brookfield Asset Management, one of the largest owners and operators of infrastructure assets globally. DLR and Brookfield each own approximately 49% of the total equity interests in the joint venture, which owns and operates Ascenty, the leading data center provider in Brazil. In 2018, a cross-office and interdisciplinary Latham team, including from its market-leading REIT, Mergers & Acquisitions, and Latin America Practices, advised Digital Realty on the transaction to acquire Ascenty from private equity firm Great Hill Partners in a transaction valued at approximately $1.8 billion.

Partner Ann Buckingham led the Latham joint venture deal team with Julian Kleindorfer, Global Co-Chair of Latham’s REIT Industry Group, with associates Cameron Cotton, Alidad Damooei and Jean Meraz-Debraine. Advice was also provided on tax matters by partners Ana O'Brien and Eric Cho, with associate Brian Rogers.
